Subscription, Billing, Refund & Cancellation Policy

This policy governs paid subscriptions to the Nexora platform ("Service"), operated by SMF Technologies LLP, GSTIN [GSTIN] ("Company"), and forms part of the Agreement between you and the Company. It is intended to comply with the Consumer Protection (E-Commerce) Rules, 2020.
1. Subscription Plans
1.1 Nexora is offered on a flat, per-account subscription basis. At sign-up, you select a plan tier corresponding to the deployed capital you intend to allocate to strategies on the Platform (e.g., "up to ₹X"). The fee for your plan tier is fixed and does not vary based on which strategies you enable, how many strategies you run, or any trading outcome — it is a fee for access to the Platform's software and infrastructure at the capital scale you select.
1.2 Current subscription plans, their capital tiers, features, and pricing (inclusive of applicable taxes) are published at [PRICING PAGE URL] and may be updated from time to time. The plan and price applicable to you are those displayed and accepted at the time of your purchase or renewal.
1.3 Subscription fees cover access to the Nexora software platform only. They do not include, and are entirely separate from, any brokerage, exchange transaction charges, Securities Transaction Tax (STT), SEBI turnover fees, stamp duty, GST on brokerage, or any other statutory levy applicable to trades executed in your brokerage account — these are charged directly by your broker (Upstox) in accordance with its own tariff.
2. Billing and Renewal
2.1 Subscriptions are billed in advance on a [monthly/quarterly/annual — TO CONFIRM] basis via the payment method you provide.
2.2 Unless cancelled in accordance with Section 4 before the renewal date, subscriptions automatically renew for successive periods of the same duration, at the then-current price for your plan. We will notify you by email at least [NUMBER] days before any price change takes effect on renewal.
2.3 Invoices, including applicable GST, will be issued to the email address on your account and are also available for download from your account settings.
2.4 If a renewal payment fails, we will attempt to notify you and may retry the charge. If payment is not received within [NUMBER] days, your access to paid features will be downgraded to the free tier (if any) or suspended, and any active strategies will be paused. Pausing a strategy does not close any open positions in your brokerage account — see Section 5.
3. Free Trial (if offered)
If a free trial period is offered, its duration and any limitations will be disclosed at the time of sign-up. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and billing will commence, in accordance with Section 2.
4. Cancellation
4.1 You may cancel your subscription at any time from your account settings or by emailing [SUPPORT EMAIL]. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until then.
4.2 Cancellation of your subscription does not automatically:
- revoke your Upstox API authorization (see the Broker API Authorization & Consent for how to do this separately);
- deactivate any strategies already active on your account (you should explicitly pause/deactivate these before or at the time of cancellation); or
- close any open positions in your brokerage account.
You remain solely responsible for managing your open positions and broker connection after cancellation.
5. Refunds
5.1 Subscription fees are generally non-refundable, except as set out below or as required by applicable law.
5.2 You are entitled to a full refund of the current billing period's fee if you cancel within [e.g., 7 days] of the initial purchase or of a renewal charge, provided that you have not made substantive use of the paid features during that period (a "cooling-off period"), in accordance with the Consumer Protection (E-Commerce) Rules, 2020.
5.3 If the Service is unavailable for a continuous period exceeding [e.g., 72 hours] due to causes within the Company's reasonable control, you may request a pro-rata credit or refund for that downtime, on written request to [SUPPORT EMAIL].
5.4 No refunds will be made for:
- trading losses, missed trading opportunities, or any outcome of strategies executed in your brokerage account — these are governed by the Risk Disclosure Document and are entirely independent of the subscription fee;
- partial billing periods following cancellation (except as set out in Section 5.2); or
- account suspension or termination due to your breach of the Terms of Service.
5.5 Approved refunds will be processed to the original payment method within [NUMBER] business days.
6. Plan Changes and Capital Tier Accuracy
6.1 You may upgrade or downgrade your plan at any time from account settings. Upgrades take effect immediately, with a pro-rated charge for the remainder of the current billing period. Downgrades take effect at the start of the next billing period.
6.2 Your plan tier is based on the deployed capital you declare at sign-up or on upgrade/downgrade. If the capital allocated to strategies on the Platform materially and persistently exceeds your selected tier's range, we may notify you and request that you upgrade to the appropriate tier. Continuing to operate at a capital level above your selected tier after such notice may result in feature restrictions until you upgrade.
7. Taxes
All fees are subject to Goods and Services Tax (GST) and any other applicable taxes, which will be added to the displayed price at checkout and shown separately on your invoice.
8. Grievances Relating to Billing
For any billing dispute, contact [SUPPORT EMAIL] in the first instance. If unresolved, you may escalate in accordance with the Grievance Redressal Policy.
